A. Basic Concepts 

Exclusive Sales refers to an agreement between an exporter and a foreign distributor, granting the distributor the exclusive right to sell designated products in a designated region for a specified period. The distributor, in turn, undertakes not to deal in similar or substitutable products from other sources. 
Through an exclusive sales agreement, the two parties establish a stable, long-term trading relationship, with each specific transaction based on the exclusive sales agreement, and separate sales contracts are concluded. 

B. Exclusive Sales Agreement 

The exclusive sales agreement itself is not a sales contract; it outlines the rights and obligations of both parties and general trading conditions. Its main contents are as follows: 

The basic relationship between the two parties. It clarifies that the relationship between the exporter and the distributor is one of buyer and seller. The distributor shall self-finance the purchase of the goods and bear all profits and losses from sales. 

The products, region, and term of exclusive sales. The agreement specifies the types or models of products covered by the exclusive sales, defines the geographical scope of the distributor's business rights, and is negotiated by both parties based on the exporter's marketing strategy and the distributor's sales capability and committed sales volume. The term of exclusive sales refers to the validity period of the agreement, usually set at one to two years. Some agreements may not specify a term but only provide clauses for termination or renewal. 

Exclusive rights. Exclusive rights include the exclusive right to sell and the exclusive right to buy. The former means the exporter undertakes not to sell the exclusive sales products to other customers within the designated region during the term of the agreement. The latter means the distributor undertakes to purchase such products only from the designated exporter and not to purchase similar or competitive substitute products from third parties. The exclusive right to sell is an indispensable element of the exclusive sales agreement and a primary condition distinguishing it from general distribution agreements. 

Minimum quantity or amount of exclusive sales products. This is the minimum limit of products the distributor must purchase from the exporter within the specified term of the agreement. Some agreements may have no such requirement. 

Price of exclusive sales products and general trade terms. The price of exclusive sales products can be set once or negotiated per transaction based on market conditions when concluding sales contracts. General trade terms refer to conditions applicable to each transaction during the term of the agreement, such as payment terms, inspection and claims, insurance, and force majeure, which can be stipulated in the exclusive sales agreement to simplify the content of subsequent sales contracts. 

C. Application of the Exclusive Sales Approach 

For exporters, the main purpose of adopting the exclusive sales approach is to leverage the distributor's capital and sales capability to establish a steadily developing market in a specific region. For the distributor, securing exclusive rights provides a favorable position in selling the designated products, avoiding competition from multiple sources that could lead to price reductions and profit erosion. Thus, they have a higher business incentive and can invest more in advertising, sales promotion, and after-sales service. 

Since exclusive sales involve the distributor purchasing the products outright before selling them, the distributor needs sufficient capital investment and bears sales risks. If the distributor lacks capital or sales capability, it may lead to a situation where they have exclusive rights but fail to sell.
